By accessing or using Agent Layer's platform, website, or SMS messaging program, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use our services.
If you are using Agent Layer on behalf of a business, you represent that you have the authority to bind that business to these Terms.
Agent Layer provides a booking access platform that enables service businesses to capture appointment requests through messaging channels, AI assistants, and other digital touchpoints. Our services include:

Program description: When you provide your phone number in connection with booking an appointment through a business that uses Agent Layer, you may receive SMS messages related to that booking. These messages are transactional in nature and include:
Consent: By providing your phone number as part of a booking, you consent to receive transactional SMS messages from Agent Layer on behalf of the business you are booking with.
Opt-out: You may opt out of SMS messages at any time by replying STOP to any message. You will receive a single confirmation message acknowledging your opt-out and no further messages will be sent. Note that opting out of SMS may affect your ability to receive booking confirmations and reminders.

Message and data rates: Standard message and data rates from your mobile carrier may apply. Agent Layer does not charge separately for SMS messages.
Supported carriers: Agent Layer's SMS program is available through most major US carriers. Carrier availability is not guaranteed.
Compliance: Our SMS messaging program complies with applicable regulations including the Telephone Consumer Protection Act (TCPA) and CTIA guidelines. Businesses using Agent Layer are responsible for ensuring their use of our SMS features complies with applicable laws and regulations.

All content, features, and functionality of the Agent Layer platform — including but not limited to software, text, graphics, logos, and interface design — are the property of Agent Layer and are protected by applicable intellectual property laws.
You may not copy, reproduce, distribute, or create derivative works from any part of our platform without our express written consent.
By using our services, you grant Agent Layer a limited license to use information you provide solely for the purpose of delivering our services to you.
Agent Layer's services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that:
Agent Layer acts as an intermediary between customers and businesses. We are not responsible for the quality of services provided by businesses using our platform, nor for any disputes arising between customers and businesses.
To the maximum extent permitted by applicable law, Agent Layer shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services, including but not limited to missed appointments, failed message deliveries, or business losses.
Our total liability to you for any claim arising from these Terms or your use of our services shall not exceed the amount you paid us, if any, in the twelve months preceding the claim.
You agree to indemnify, defend, and hold harmless Agent Layer and its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable attorneys' fees) arising from your use of our services, your violation of these Terms, or your violation of any third party's rights.
We reserve the right to suspend or terminate your access to Agent Layer at any time, with or without cause, and with or without notice. Upon termination, your right to use the platform will immediately cease.
Businesses may discontinue use of Agent Layer at any time by contacting us. Provisions of these Terms that by their nature should survive termination will do so, including intellectual property rights, disclaimers, and limitations of liability.
These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Georgia.
We may update these Terms from time to time. We will post the revised Terms on this page with an updated effective date. Your continued use of our services after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
